Terms of Use for Noteclave

1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," "your") and Nascentra Labs ("we," "us," "our") regarding your use of the Noteclave mobile application (the "App" or "Service").

By downloading, installing, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the App and must delete it immediately.

Your use of the App is also governed by our Privacy Policy, which is incorporated herein by reference. Please review the Noteclave Privacy Policy to understand our commitment to your privacy.

2. The Nature of the Service

Noteclave is an offline-first application designed for secure note-taking and data storage. All content, data, and files you create or import into the App are stored exclusively on your local device. We do not operate servers that store or have access to your content. You are the sole custodian of your data.

3. User Responsibility for Data and Security

This section is critical. Due to the App's offline-first and zero-knowledge architecture, your security is your responsibility.

  • Data Ownership: You retain full ownership of all content you create, import, or store within the App ("User Content").
  • Password Security: The security of the encrypted Vault depends entirely on the password you set. You are solely responsible for creating a strong password and keeping it confidential. We have no way to recover your password if you lose it.
  • Recovery Phrase: The App provides a recovery mechanism (e.g., a recovery phrase) to regain access to your Vault if you forget your password. You are solely responsible for securely storing this recovery information. Losing both your password and your recovery phrase will result in the permanent, irreversible loss of all data stored in your Vault. We cannot and will not be able to recover this data for you.
  • Device Security: You are responsible for maintaining the security of the device on which the App is installed.

4. License to Use the App

We grant you a revocable, non-exclusive, non-transferable, limited right to install and use the App on a single mobile device owned and controlled by you, strictly in accordance with these Terms.

5. Prohibited Activities

You agree not to use the App for any purpose that is illegal or prohibited by these Terms. You agree not to:

  • Decompile, reverse engineer, disassemble, or otherwise attempt to derive the source code of the App.
  • Use the App for any purpose that infringes on the intellectual property rights of others.
  • Store or transmit any material that is unlawful, harassing, defamatory, or otherwise objectionable.
  • Attempt to circumvent any security features of the App.

6. Intellectual Property

All rights, title, and interest in and to the App itself, including its source code, design, graphics, and the "Noteclave" and "Nascentra Labs" trademarks, are the exclusive property of Nascentra Labs. These Terms do not grant you any rights to our intellectual property except for the limited license to use the App as described above.

7. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

8. Limitation of Liability

IN NO EVENT SHALL NASCENTRA LABS, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST DATA, ARISING FROM YOUR USE OF THE APP OR YOUR INABILITY TO ACCESS YOUR DATA.

YOU EXPLICITLY ACKNOWLEDGE AND AGREE THAT WE ARE NOT RESPONSIBLE FOR ANY LOSS OF DATA RESULTING FROM A LOST PASSWORD, LOST RECOVERY PHRASE, DEVICE FAILURE, OR USER ERROR. YOUR USE OF THE APP IS AT YOUR SOLE RISK.

9. Indemnification

You agree to indemnify, defend, and hold harmless Nascentra Labs and its affiliates from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the App or your violation of these Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Pakistan, without regard to its conflict of law principles.

11. Changes to These Terms

We reserve the right, in our sole discretion, to modify or replace these Terms at any time. We will provide notice of material changes within the App. By continuing to use the App after any revisions become effective, you agree to be bound by the revised terms.
