Our total liability for any claim arising out of or relating to these Terms or the Services shall not exceed the greater of (a) the amount you paid to us, if any, for the Services in the six (6) months preceding the claim, or (b) USD $100.

You agree to defend, indemnify, and hold harmless Nascentra Labs and our affiliates, and our and their respective officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

10. Termination

We may suspend or terminate your access to all or part of the Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the Services will immediately cease.

11. Governing Law; Dispute Resolution

These Terms and any disputes arising from or relating to them or the Services will be governed by and construed in accordance with the laws of Pakistan, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Lahore, Pakistan, to resolve any legal matter arising from the Terms or your use of the Services.

12. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and Nascentra Labs regarding the Services and supersede any prior agreements.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
  • No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
  • Assignment: You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Headings: Headings are for convenience only and have no legal or contractual effect.
